1. Scope of Services

1.1 The Company shall provide recruitment, headhunting, and candidate placement services as agreed with the Client.
1.2 The Company will source, screen, and present suitable candidates based on the Client’s requirements.
1.3 The final hiring decision shall rest solely with the Client.

2. Candidate Information & Confidentiality

2.1 All candidate information provided by the Company is confidential and for the Client’s internal use only.
2.2 The Client shall not disclose candidate details to any third party without prior written consent from the Company.
2.3 If a candidate is disclosed to a third party and is subsequently hired, the Client will remain liable for the applicable service fees.

3. Fees & Payment Terms

3.1 The Client agrees to pay recruitment service fees as per the agreed rate card or proposal shared by the Company.
3.2 Fees are applicable once a candidate accepts the offer of employment (or signs an agreement/contract with the Client).
3.3 All invoices are payable within 30 days from the date of invoice.

4. Client’s Responsibilities

4.1 The Client must provide accurate and complete job descriptions, compensation details, and other necessary information for the recruitment process.
4.2 The Client shall notify the Company immediately upon hiring a candidate referred by the Company.
4.3 The Client agrees not to approach, solicit, or hire Company’s staff directly during or within 24 months after the engagement period.

5. Limitation of Liability

5.1 The Company shall not be liable for any loss, damage, or expense incurred by the Client as a result of hiring a candidate introduced by the Company.
5.2 The Company does not guarantee the performance, conduct, or suitability of any candidate.
